THE OPPORTUNITY:
We have an exciting opportunity for a Corporate Associate with at least four years of private fund or other alternative investment experience.
Seyfarth's investment attorneys possess the broad, in-depth experience necessary to serve a large and diverse group of institutional investors. Our clients include government plans, large corporate plans, universities, family offices, multi-employer plans and other significant investors. Typical deal size ranges from $50 Million to $500 Million per deal. The practice is global.
In addition to comingled fund investments, we handle direct investments, co-investments, joint ventures, separate accounts and club deals. We represent our clients in deals exceeding $30 Billion per year and are viewed as a leading firm in representing these institutional investors in sophisticated deals. As noted by Legal 500, "Seyfarth Shaw LLP's team exclusively represents heavyweight limited partners, including major state retirement schemes, and it consistently fights for its clients to get the best possible arrangements with general partners of private equity funds." THE DAY-TO-DAY:
As an associate in the Corporate Department, you'll have the opportunity to work on interesting, challenging, and groundbreaking cases in collaboration with senior attorneys.
YOU HAVE:
Experience representing institutional investors (for example, governmental pension plans, ERISA pension plans, charitable and university foundations, and family offices) in their evaluation of and execution on investment opportunities
Experience reviewing and structuring comingled private fund investments (e.g. limited partnership agreements, subscription agreements, and side letters), co-investments, bespoke joint ventures and direct investments, secondaries transactions and general investment counseling
A high level of initiative and engagement, an entrepreneurial attitude, a willingness (and the confidence) to engage directly with clients and opposing counsel, and a demonstrable commitment to becoming a partner
Sophisticated analytical, communication and interpersonal skills
Admission to the state bar of your resident office (or are eligible to waive in).
